BaFin Fines SFC Energy AG for Late Financial Reporting

SFC Energy AG, a company based in Germany, has been fined €189,000 ($203,000) by BaFin, the Federal Financial Supervisory Authority, for violating securities laws around financial reporting. According to BaFin's order issued on May 21, 2024, SFC Energy failed to publish its half-yearly financial report for the 2022 financial year within the required timeframe under the German Securities Trading Act (Wertpapierhandelsgesetz).

Under the Act, public companies trading securities on German markets must announce when and where they will publish annual and half-yearly financial reports. This announcement is required no later than four months after year-end before the annual report, and three months after the half-year before the half-yearly report is released.

SFC Energy, which produces fuel cells and renewable power sources, had its financial reports available in the Company Register. However, it failed to properly announce the publication details for its half-yearly 2022 report, resulting in the fine from BaFin. The company can appeal the administrative fine order. BaFin can levy penalties up to €10 million or 5% of a company's total annual revenue for violations of Germany's securities reporting requirements.
